Welcome to TikPlay! These Terms of Service ("Terms") govern your use of the TikPlay gaming platform and our TikTok livestream integration services. By using TikPlay, you agree to these Terms.

Contracting Party

Your contract is with TikPlay – Cakir Emre Yunus & Güngörmüs Atakan Aytac GbR, represented by the partners Cakir Emre Yunus & Güngörmüs Atakan Aytac.

1. Service Description

TikPlay is an interactive gaming platform that integrates with TikTok livestreams, allowing:

  • Real-time connection between TikTok gifts and in-game actions
  • Interactive gaming experiences for TikTok streamers and viewers
  • Game analytics and performance tracking
  • Customizable game configurations and mappings
  • Unity-based games playable through web browsers

2. Account Registration

To use TikPlay, you must:

  • Be at least 13 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Have a valid TikTok account for integration features
  • Comply with TikTok's Terms of Service

Youth Protection

Users under 18 years of age require parental consent. By creating an account as a minor, you confirm that your parent or legal guardian has approved your use of TikPlay and agrees to these Terms on your behalf.

You are responsible for all activities that occur under your account.

3. TikTok Integration

Authorization

By connecting your TikTok account, you authorize TikPlay to access your TikTok data as specified in our Privacy Policy, including livestream interactions and gift data.

Third-Party Terms:

Your use of TikTok integration is also subject to TikTok's Terms of Service and Community Guidelines. We are not responsible for TikTok's policies or actions.

Service Limitations

TikTok integration depends on TikTok's API availability. We cannot guarantee uninterrupted service and are not liable for TikTok-related outages or changes to their platform.

4. Acceptable Use

You agree NOT to:

  • Use the platform for any illegal or unauthorized purpose
  • Violate any laws or regulations in your jurisdiction
  • Harass, abuse, or harm other users
  • Spam or flood the platform with excessive requests
  • Attempt to hack, reverse engineer, or compromise our systems
  • Create fake accounts or misrepresent your identity
  • Use bots or automated systems without permission
  • Share inappropriate or harmful content
  • Interfere with other users' gaming experiences

5. Gaming Rules

All gaming must be conducted fairly. Cheating, exploiting bugs, or manipulating TikTok interactions to gain unfair advantages is prohibited.

6. Intellectual Property

TikPlay and its games are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without permission.

Game content, logos, and branding remain the property of TikPlay Cakir & Güngörmüs GbR. User-generated content may be subject to separate licensing terms.

7. Privacy and Data

Your privacy is important to us. Our data collection and use practices are described in our Privacy Policy,which is incorporated into these Terms by reference.

8. Service Availability

We strive to provide reliable service but cannot guarantee 100% uptime. The platform may be unavailable due to:

  • Scheduled maintenance
  • Technical difficulties
  • TikTok API limitations
  • Force majeure events

9. Subscriptions and Payments

TikPlay offers monthly and 6-month subscription plans for its services.

Subscriptions automatically renew at the end of each billing period unless canceled in advance.

You may cancel your subscription at any time via your Stripe customer portal. The cancellation will be effective at the end of the current paid period.

No refunds will be issued for partial periods or unused time.

By subscribing, you agree to the pricing and billing terms presented at the time of purchase.

⚠️ Account Deletion Cancels Your Subscription

When you delete your TikPlay account, any active subscription is cancelled IMMEDIATELY at the same moment. No refund will be issued for the remaining paid period or unused time. If you want to keep using the service until the end of the paid period, do NOT delete your account; instead cancel only the subscription via the Stripe Customer Portal, in which case the subscription remains active until the end of the current billing period. By confirming account deletion, you expressly acknowledge and accept the immediate cancellation of your subscription without refund.

9.1 Waiver of Right of Withdrawal

By purchasing a subscription or using TikPlay's digital services, you expressly consent to the immediate start of the service upon conclusion of the contract. You acknowledge and agree that you thereby waive your statutory right of withdrawal in accordance with § 356(5) BGB (German Civil Code).

10. Termination

10.1 Program Overview

The TikPlay Affiliate Program allows qualified individuals ("Affiliates") to earn commissions by referring new users to TikPlay's paid subscription services. This section outlines the terms and conditions governing participation in the Affiliate Program.

10.2 Jurisdictional Availability

The TikPlay Affiliate Program is currently available to residents of the following jurisdictions:

  • European Union member states
  • United Kingdom
  • Switzerland
  • Norway
  • United States (W-9 tax form verification required)

TikPlay reserves the right to expand or restrict jurisdictional availability at any time without notice. Affiliates operating in restricted jurisdictions may have their accounts suspended and pending commissions forfeited.

10.3 Eligibility

To participate in the Affiliate Program, you must:

  • Be at least 18 years old or have legal guardian approval
  • Reside in a supported jurisdiction
  • Have a valid TikPlay account with verified email address
  • Comply with all applicable laws and these Terms
  • Not have violated our Terms of Service or been previously suspended

10.4 Independent Status

⚠️ Affiliate Status - NOT an Employee

The Affiliate acts in their own name and on their own account. There is no employment relationship, agency relationship, partnership, or other business relationship between the Affiliate and TikPlay. The Affiliate is an independent contractor and bears full responsibility for their own actions, including but not limited to:

  • Self-employment taxes and legal obligations in their jurisdiction
  • Business liability and insurance
  • Compliance with all applicable advertising and consumer protection laws
  • Any claims or damages arising from their marketing activities

The Affiliate has no authority to represent, act on behalf of, or bind TikPlay in any manner without explicit written permission.

10.5 Commission Structure

Commission Rate: 15% Net Amount (Current - Subject to Change)

Affiliates currently earn 15% of the NET subscription fee (after 19% VAT deduction) for each unique user they refer who completes a paying subscriber.

Commission Calculation Example:

  • User pays (Brutto): €19.99
  • 19% VAT deduction: €19.99 ÷ 1.19 = €16.80 (Net)
  • Your commission (15% of net): €2.52

* Commission rates are subject to change at TikPlay's sole discretion with 30 days' written notice.

* Stripe transaction fees on incoming subscription payments (typically ~1.5% + €0.25 per payment) are absorbed by TikPlay and NOT deducted from your commission. Your commission is calculated on the full net amount after VAT only.

Commission Duration: 365 Days (12 months per referral)

Commissions are paid for a maximum of 365 consecutive days (1 year) from the date the referred user first initiates a paid subscription. After 365 days, no further commissions are earned for that user, regardless of their continued subscription status.

Re-Subscription After Cancellation

The 365-day commission window starts on the very first paid subscription of a referred user and is NEVER reset. If a referred user cancels their subscription and later re-subscribes:

  • If the original 365-day window has NOT yet expired: commissions resume on the new payments for the remainder of the original window only. The window is NOT extended.
  • If the original 365-day window has already expired: NO further commissions are earned, even if the user resubscribes. The window cannot be reopened.

Plan Changes (Upgrades/Downgrades)

If a referred user changes their subscription plan, future commissions are calculated on the new plan price. Past commissions are not adjusted retroactively.

10.6 Commission Rate Adjustments

TikPlay reserves the right to modify the commission rate at any time with thirty (30) days' written notice to Affiliates. The following provisions apply to rate changes:

  • New rates apply only to referrals made AFTER the effective date of the change
  • All existing commission obligations already earned are NOT affected by rate changes
  • If an Affiliate disagrees with the new rate, they may terminate their affiliate status within 30 days
  • Continued participation after the 30-day notice period constitutes acceptance of the new rate

10.7 Marketing Standards and Honest Promotion

Affiliates MUST promote TikPlay truthfully, ethically, and in full compliance with applicable law and TikPlay's guidelines. Specifically, Affiliates commit to:

  • Provide truthful and accurate information about TikPlay, its features, and pricing
  • Disclose the affiliate relationship clearly to audiences (e.g., "I earn a commission if you sign up")
  • Comply with FTC, ASA, and other advertising regulatory requirements in their jurisdiction
  • NOT make false, misleading, or exaggerated claims about earnings potential
  • NOT engage in harassment, spam, phishing, or deceptive marketing tactics
  • NOT use TikPlay branding or trademarks without explicit permission
  • NOT misrepresent TikPlay features, pricing, or business model

Violations of these marketing standards may result in immediate account suspension and forfeiture of all pending commissions.

10.8 How Earnings Work

  • Commissions are calculated monthly based on subscription payments received during that period
  • Only completed transactions (non-refunded payments) count toward commissions
  • Chargebacks or fraud-related payments result in commission reversal and potential account suspension
  • Commissions are credited to your affiliate account but only paid out monthly

10.9 Payouts and Payments

The following payout terms apply:

  • Minimum payout threshold: €20.00 per month
  • If monthly earnings are below €20, the balance carries over to the next month (no cap on carry-over)
  • Payouts are processed automatically on the 1st day of each calendar month at 02:00 UTC. The transfer covers all earnings accumulated up to that point. If the threshold is not reached, the next attempt is one month later.
  • Payouts are processed EXCLUSIVELY via Stripe Connect to your verified business or personal account
  • Two-step transfer: (1) TikPlay transfers funds from our main account to your Stripe Express Account on the 1st of the month. (2) You then withdraw from your Express Account to your bank via the Stripe Dashboard. Step 2 is your responsibility and timing depends on Stripe.
  • You are responsible for providing accurate Stripe Connect information
  • Failed payout attempts due to invalid account information may result in payment delays. See Section 10.16 for the policy on prolonged Stripe access loss.
  • You are responsible for all taxes, withholding, and reporting obligations in your jurisdiction

10.9a Stripe Connect Requirements

All affiliate payouts are processed exclusively through Stripe Connect. By participating in the Affiliate Program, you acknowledge and accept the following:

  • You must create and maintain a valid Stripe account in your name
  • Stripe will conduct identity verification (KYC) as required by applicable law and their policies
  • US-based affiliates must complete W-9 tax form verification through Stripe as part of account setup
  • Stripe transaction fees apply and are deducted from your payout (typically 2.2% + €0.30 per transfer in Germany)
  • Processing times: 5-10 business days after Stripe approval
  • Stripe may decline, suspend, or close your account per their Terms of Service and policies
  • You agree to Stripe's Terms of Service and Privacy Policy as conditions of participation
  • TikPlay is not responsible or liable for any Stripe-related issues, account closures, payment delays, or disputes

10.10 Affiliate Codes

  • Each Affiliate chooses a unique affiliate code (e.g., "mychannel123")
  • Format requirements: 3-30 characters; lowercase letters (a-z), digits (0-9), underscore (_) and hyphen (-) are permitted. All codes are stored and matched in lowercase. Uppercase input is automatically normalized.
  • Your full affiliate URL is: https://tikplay.games/?ref=YOUR_CODE
  • Attribution rule: when a new user clicks your link AND signs up without entering a different code, the referral is yours. If they manually enter a different code on the signup form, that code wins. The "last clicked" link is stored locally for up to 30 days; after 30 days the link expires unless the user re-clicks it.
  • Self-referral is technically blocked: you cannot use your own code. Attempts to circumvent this via secondary accounts violate Section 10.10 (Prohibited Activities) and result in commission forfeiture and account suspension.
  • You are responsible for promoting your code accurately and honestly
  • Codes are personal to you and may not be shared, sold, or transferred
  • Once activated, your affiliate code CANNOT be changed by you. Contact support if a change is genuinely required (e.g., legal name conflict). We reserve the right to change your code if it violates our policies.

⚠️ Prohibited Activities

Affiliates must NOT engage in any of the following:

  • Self-referral: Creating fake accounts or using your own code to generate earnings
  • Bot spam: Using bots, automation, or scripts to promote your affiliate code
  • Paid ads fraud: Running paid ads without disclosing the affiliate relationship
  • Trademark abuse: Using TikPlay trademarks, copyrighted materials, or misleading claims
  • Email spam: Unsolicited mass emails or spam messaging campaigns
  • Forced conversions: Misleading users or coercing them to sign up
  • Duplicate referrals: Referring the same user multiple times or with multiple codes
  • Cookie stuffing or malware: Any unauthorized redirect or malicious tracking methods
  • False advertising: Misrepresenting TikPlay features, pricing, or earning potential
  • Competitive bidding violations: Bidding on TikPlay trademarks in paid search without permission

10.11 Fraud Detection and Prevention

We employ automated and manual fraud detection systems to protect the Affiliate Program. We reserve the right to:

  • Review affiliate activity for suspicious patterns
  • Hold suspicious commissions pending investigation (up to 90 days)
  • Deny or reverse commissions from fraudulent referrals
  • Immediately suspend affiliate accounts engaged in fraud
  • Refer fraudulent activity to law enforcement if applicable

10.12 Refunds and Chargebacks

Our refund and chargeback policy:

  • When Stripe issues a refund (full or partial) on a referred user's subscription payment, our system automatically reverses the corresponding affiliate commission. For partial refunds, the commission is reduced proportionally to the refunded amount.
  • If the commission has not yet been transferred to your Stripe Express Account, the reversal is deducted from your pending balance. If the commission has already been transferred to your Express Account, the reversal is deducted from your NEXT pending balance — your pending balance may temporarily go negative ("clawback carry") until offset by future commissions.
  • If a chargeback occurs, the commission is reversed and your account may incur the chargeback fee
  • Multiple chargebacks may result in immediate account suspension and payout denial
  • You remain liable for chargeback fees if not covered by your Stripe account
  • If your pending balance remains negative for 6 consecutive months after termination, the residual clawback is written off — but TikPlay reserves the right to pursue recovery in cases of fraud or abusive refund patterns.

10.13 Suspension and Termination of Affiliate Status

We may suspend or terminate your affiliate status at any time, with or without cause, by providing written notice. Reasons for suspension may include:

  • Violation of this Affiliate Agreement or any Term of Service
  • Detected fraud, abuse, or violation of prohibited activities
  • Excessive refunds or chargeback rates
  • Legal compliance issues or jurisdiction restrictions
  • Inactive account (no referrals for 12 consecutive months)
  • Violation of marketing standards or advertising regulations

Upon suspension or termination: (1) Your affiliate code becomes inactive, (2) Pending commissions may be held or forfeited, (3) You forfeit the right to future payouts, (4) We are not liable for lost earnings.

10.14 Excluded Partner Coupons

TikPlay may issue dedicated discount coupons to business partners, agencies, or promotional campaigns. Payments that apply such a coupon are excluded from the Affiliate Program for the duration of that specific payment. Specifically:

  • No affiliate commission is generated for a payment that uses an excluded coupon, regardless of whether the referred user originally signed up via an affiliate link.
  • The exclusion is evaluated per-payment, not per-user. If the same user pays a later renewal WITHOUT the coupon, that renewal generates commission as normal (subject to the regular 365-day commission cap from first payment).
  • The referred user is NOT prevented from becoming an affiliate themselves or earning commission on their own referrals — only commission ON their own payments is affected.
  • TikPlay maintains the list of excluded coupons at its sole discretion. Coupons may be added or removed without prior notice. Affiliates are not entitled to know in advance which coupons are excluded.
  • For audit transparency, all skipped commissions are logged with the coupon ID in your commission history (visible to admin/support on request).

Rationale: when TikPlay grants a substantial discount as part of a B2B agreement, the effective net revenue from that payment is significantly reduced and is committed to that partnership. Deducting a further 15% affiliate commission would make the partner economics unsustainable.

10.15 Affiliate Account Deletion

You may delete your TikPlay account at any time via the profile page. Account deletion has the following consequences for affiliate participants:

  • Any pending balance below the €20 payout threshold is FORFEITED and is not transferred to you. By deleting your account you waive your claim to amounts that have not yet been transferred to your Stripe Express Account.
  • Any pending balance at or above the €20 threshold may be transferred at TikPlay's discretion BEFORE deletion completes; otherwise it is also forfeited. To avoid forfeiture, ensure your Stripe Express Account is connected and verified before initiating deletion.
  • All your active referrals are immediately marked as "ended" and no further commissions accrue for any payments those referred users make after your deletion.
  • Your affiliate code is deactivated and links pointing to it stop tracking. Already-tracked referrals (users who clicked your link before deletion) cannot be reassigned to other affiliates.
  • If you are deleted as a referred user (the affiliate's referral), the affiliate's referral entry for you is marked "ended" and no further commissions accrue.
  • Funds already transferred to your Stripe Express Account before deletion remain yours and are governed by Stripe's own terms.

⚠️ Account deletion is irreversible. Forfeited pending balances cannot be recovered after deletion completes, even with support intervention.

10.16 Loss of Stripe Connect Access

TikPlay can only pay you via Stripe Connect. If your Stripe Express Account becomes inaccessible (closed by Stripe, suspended, lost credentials, KYC verification revoked, etc.), the following policy applies:

  • After 3 consecutive failed monthly transfer attempts, our system flags your account for review and notifies our team. We will attempt to contact you via the email on file.
  • During the failure period, your pending balance continues to accumulate normally — no commissions are lost during the first months of failure.
  • You have 12 months from the date of the FIRST failed transfer to restore Stripe access (e.g., resolve the issue with Stripe directly, complete pending verification, or set up a new Stripe Express Account through our platform).
  • After 12 continuous months of failed transfers without resolution, your entire pending balance is FORFEITED and your affiliate status may be terminated. This policy exists because we cannot indefinitely hold funds we are unable to deliver to you.
  • A successful transfer at any point during the 12-month window resets the failure counter. If the issue recurs later, the 12-month clock starts over.
  • TikPlay is not responsible for the underlying cause of Stripe access loss. Disputes about Stripe account closures must be resolved with Stripe directly per their terms.

💡 To minimize risk: keep your Stripe Express Account current, respond promptly to KYC requests, and ensure the email on your TikPlay account is monitored.

10.17 Terms Acceptance and Agreement

By activating an affiliate account and accepting affiliate status in the TikPlay system, you confirm that you have read, understood, and agree to be bound by this entire Affiliate Agreement. You further acknowledge that: (1) You have received a copy of these terms, (2) You understand the 365-day (1 year) commission cap per user — including that the cap is NEVER reset on re-subscription, (3) You understand the €20 minimum payout threshold and the monthly payout schedule (1st of each month at 02:00 UTC), (4) You accept that refunds and chargebacks automatically reverse the corresponding commission and may produce a temporary negative pending balance ("clawback carry"), (5) You accept all fraud policies, suspension rights, and commission adjustment provisions, (6) You understand that account deletion forfeits any pending balance below the €20 threshold (Section 10.15), (7) You accept the 12-month forfeiture policy if Stripe Connect access is lost (Section 10.16), (8) You accept that payments using excluded partner/agency coupons generate NO commission for that payment (Section 10.14), (9) You are an independent contractor with no employment or partnership relationship with TikPlay, and (10) You are responsible for your own taxes, legal compliance, and marketing practices.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TikPlay Cakir & Güngörmüs GbR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

Upon termination, your right to use the platform ceases immediately, but certain provisions of these Terms will survive.

12. Governing Law

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

We are not responsible for:

  • TikTok platform changes or outages
  • Loss of game progress or data
  • Third-party integrations or services
  • User-generated content

13. Changes to Terms

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TikPlay Cakir & Güngörmüs GbR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

14. Contact Information

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes will be resolved in the courts of Hof, Germany.

15. Changes to Terms

We may update these Terms periodically. We'll notify you of significant changes via email or platform notification. Continued use after changes constitutes acceptance.
